Session One:

The Capital Structure, Restricted Group and Value Leakage Through Restricted Payments and Permitted Investments

The first session of this series will set the groundwork for understanding covenant analysis. This will include looking at a leveraged capital structure, typical “soft” versus “hard” credit support, what is “in the box” and how to assess value leakage risk that can transfer assets out of reach of creditors. Session one covers the Restricted Payments covenant, often the least understood but most critical provision in a covenant package.

  • The scope of the covenant, and the type of payments, purchases and investments it restricts
  • Why the covenant is so important
  • How to think about investment capacity
